Appletree Capital Ltd. is a Chicago based private equity, venture
capital, and merchant banking group engaged to manage, invest
and participate in developing growing companies for our investors
and management principals. Led by our Managing Principals, Appletree
has an experienced staff working together. The team's talent
and diverse backgrounds bring a range of expertise to our investing
activities and fund administration.
Our business is to grow and nurture companies and, as they mature
and develop, "pick from the tree" those companies
we believe are ripe for a sale, merger, or public offering.
Appletree's team is comprised of professionals with backgrounds
in private equity, investment banking, investment research,
and experience at the operating level. We are skilled in working
with entrepreneurs, because we are entrepreneurs ourselves.

Our Business
The business of Appletree is to seek out special situation opportunities in emerging
growth companies that are in need of initial or expansion financing,
and provides capital, management and mergers and acquisitions
expertise. We are an active investor in the companies to which
we provide our services, and our focus is squarely on companies
that are seeking to become publicly traded through a reverse merger.
We have chosen to invest in businesses seeking capital to expand
their business product or service offerings. We believe that we
will have a greater ability to raise capital for "follow
on" investments for our portfolio companies than a traditional
private venture capital fund that is fully invested
Appletree offers entrepreneurial businesses a viable financing
alternative to traditional private equity and venture capital
funds that generally insist on control. The company typically
invests in companies that intend to go public through an IPO or
by a reverse merger with an already public firm. It also funds
small public companies that are undergoing significant change
in strategy. Investments by Appletree are not limited to any particular
industry.
Appletree Capital Ltd. is also a "fundless sponsor"
of private equity transactions in which it will initiate the
acquisition in a targeted industry, and seek investors from
existing larger private equity firms, while retaining an equity
interest in the acquired entity. The Company will establish
relationships with existing private equity firms, attorneys
dealing in the M&A arena, and business brokerage firms.
Appletree will initiate the private equity transactions in participation
with other private equity groups. The firm will provide its
expertise at both the board and operating levels. As part of
its investment activities, the group has provided a full range
of financial advisory services to client companies, including
strategic planning, mergers and acquisitions, corporate partnering,
capital formation, financial restructuring, business operations
and management, and general financial advisory services.
We invest in three distinct groups of emerging growth companies:
publicly traded companies whose market for their securities
are thinly traded, publicly traded companies that have non-marginable
securities and seek expansion or mezzanine capital to implement
growth strategies, and private companies seeking expansion or
mezzanine financing, and wishing to access the equity capital
markets within the next 12 months.
Our Funds
The Appletree Funds are partnerships or limited liability
corporations formed to make private equity investments in seed,
early stage, and small growing companies having exceptional
returns with carefully controlled risk. As a “fundless
sponsor”, Appletree participates in the investee company
with management expertise and takes an equity position. The
Funds plan to diversify its portfolio over time by raising additional
capital and investing it in varied industry sectors. The Appletree
Funds’ investors benefit by Appletree’s managerial
talent and expertise with these types of investments
